These Terms constitute a legally binding agreement between you and clipshot.ai, a company organized under Delaware law ("Company," "we," "us," or "our"). Your continued use of the Service after any modifications to these Terms constitutes acceptance of such modifications.

The Service provides analytical tools and insights based on data processing algorithms. clipshot.ai does not guarantee the accuracy, completeness, reliability, or suitability of any insights, recommendations, predictions, or analysis provided through the Service.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF CLIPSHOT.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES, AFFILIATES, AND LICENSORS (COLLECTIVELY, "COMPANY PARTIES") ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT PAID BY USER TO CLIPSHOT.AI FOR THE SERVICE DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
UNDER NO CIRCUMSTANCES SHALL THE COMPANY PARTIES BE LIABLE FOR ANY:
The Company shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, government actions, internet service provider failures, or other force majeure events.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
USER ACKNOWLEDGES AND AGREES THAT:
a) Artificial Intelligence Limitations:
The Service utilizes artificial intelligence, machine learning algorithms, and predictive analytics that are inherently probabilistic in nature. AI-generated insights, recommendations, predictions, and analyses are based on historical data patterns and mathematical models that may not account for all relevant factors affecting basketball performance, strategy, or outcomes.
b) No Guarantee of Accuracy:
clipshot.ai makes no representations or warranties regarding the accuracy, completeness, or reliability of any AI-generated content, analytics, predictions, player assessments, strategic recommendations, or performance insights provided through the Service.
c) Decision-Making Responsibility:
All coaching decisions, strategic implementations, player evaluations, roster decisions, training modifications, and basketball-related choices remain solely the responsibility of the User. The Service provides analytical tools only and should not be the sole basis for any basketball-related decisions.
d) Data Integration Risks:
The Service integrates data from multiple third-party sources. clipshot.ai is not responsible for the accuracy, completeness, or availability of third-party data sources or any consequences arising from reliance on such integrated data.
The Service may integrate with or rely upon third-party services, APIs, or data providers. clipshot.ai disclaims all liability for the performance, availability, accuracy, or content of such third-party services.
User agrees to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorneys' fees and costs) arising from:
This indemnification obligation shall survive termination of these Terms and User's use of the Service.
By using the Service, User consents to the collection, processing, storage, and analysis of data as described in our Privacy Policy, which is incorporated herein by reference. User represents and warrants that it has obtained all necessary consents and authorizations for any personal data or biometric information provided to the Service.
While clipshot.ai implements commercially reasonable security measures, User acknowledges that no data transmission or storage system can be guaranteed to be 100% secure. clipshot.ai shall not be liable for any unauthorized access to, alteration of, or destruction of data through accident, misuse, or violation of the Service by User or third parties.
User is solely responsible for ensuring its use of the Service complies with all applicable data protection laws, including but not limited to GDPR, CCPA, HIPAA (if applicable), and any sports league-specific data protection requirements.
The Service and all materials therein, including but not limited to software, algorithms, databases, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and the selection and arrangement thereof (collectively, "Service Content"), are owned by clipshot.ai or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
Subject to these Terms, clipshot.ai grants User a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for User's internal basketball-related purposes during the term of User's subscription.
User shall not:
User agrees to pay all applicable fees for the Service as specified in the pricing schedule or subscription agreement. All fees are non-refundable except as expressly set forth in these Terms.
Payments may be processed by third-party payment processors. User acknowledges that clipshot.ai is not responsible for errors, failures, or issues related to third-party payment processing services.
clipshot.ai reserves the right to suspend or terminate access to the Service for late or non-payment of fees after providing reasonable notice to User.
User agrees not to use the Service:
Either party may terminate this Agreement at any time with written notice. clipshot.ai may immediately terminate or suspend User's access to the Service without prior notice if User violates these Terms.
Upon termination:
clipshot.ai reserves the right to modify these Terms at any time by posting the revised Terms on our website or within the Service. User's continued use of the Service after such modifications constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties hereby consent to personal jurisdiction and venue therein.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware before a single arbitrator.
USER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST CLIPSHOT.AI.
These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
User may not assign these Terms without the prior written consent of clipshot.ai. clipshot.ai may assign these Terms at any time without notice.
The headings in these Terms are for convenience only and have no legal or contractual effect.
These Terms are written in English. Any translated versions are provided for convenience only, and the English version shall control in case of any conflict.
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
These Terms and Conditions are effective as of August 17, 2025 and may be updated from time to time at clipshot.ai's sole discretion.
